Terms and Conditions of Sale and Use

These Terms and Conditions govern the sale, delivery, installation, and use of cooling equipment supplied by Bonn Cooling Solutions (hereinafter referred to as “the Company”).

By purchasing, installing, or operating any product supplied by the Company, the customer agrees to these Terms and Conditions unless otherwise agreed in writing.

General

The Company designs and manufactures industrial cooling equipment including:
    •    industrial water chillers
    •    rack-mounted cooling systems
    •    Inverter compressor cooling systems
    •    custom thermal management solutions

All equipment is intended for industrial, laboratory, technological, or professional applications.

Products are not intended for consumer household use unless explicitly specified.

Product Specifications

All technical data published on the website, in brochures, drawings, or technical documentation are provided for reference purposes only.

Specifications including but not limited to:
    •    cooling capacity
    •    electrical power consumption
    •    flow rate
    •    operating temperature range

may vary depending on:
    •    installation conditions
    •    ambient temperature
    •    coolant type
    •    system configuration

The Company reserves the right to modify product design, components, and specifications without prior notice as part of ongoing product improvement.

Quotations and Orders

All quotations issued by the Company:
    •    are non-binding unless explicitly stated
    •    have a limited validity period (typically 30 days)

Orders are considered accepted only after written confirmation by the Company.

The Company reserves the right to refuse or cancel orders in cases including but not limited to:
    •    incorrect technical requirements
    •    unavailable components
    •    regulatory or export restrictions
    •    payment issues

Custom-designed equipment may require additional technical approval prior to production.

Payment Terms

Payment conditions are defined in the official quotation or invoice.

Typical payment terms may include:
    •    advance payment for custom systems
    •    partial prepayment before production
    •    final payment before shipment

Failure to comply with payment terms may result in:
    •    production delays
    •    suspension of delivery
    •    cancellation of the order

Delivery and Shipment

Delivery times provided by the Company are estimated timelines and may change depending on:
    •    production workload
    •    component supply
    •    logistics conditions

The Company shall not be liable for delays caused by:
    •    supplier delays
    •    transportation disruptions
    •    customs procedures
    •    force majeure events

Risk of loss or damage transfers to the customer upon shipment unless otherwise agreed.

Installation Requirements

All equipment must be installed by qualified technicians and in accordance with:
    •    installation manuals
    •    electrical safety standards
    •    local regulations
    •    recommended environmental conditions

Improper installation may result in:
    •    equipment malfunction
    •    reduced cooling performance
    •    safety hazards

The Company is not responsible for damages resulting from improper installation.

Operation and Maintenance

Equipment must be operated within the specified limits described in the technical documentation.

Users must ensure:
    •    proper coolant quality
    •    adequate ventilation
    •    correct electrical supply
    •    regular maintenance

Failure to maintain the system properly may result in performance degradation or system failure.

Warranty

The Company warrants that the supplied equipment is free from manufacturing defects for the warranty period specified in the sales agreement or product documentation.

The warranty covers:
    •    manufacturing defects
    •    defective components
    •    functional failures under normal operating conditions

The warranty does not cover:
    •    damage caused by improper installation
    •    unauthorized modifications
    •    incorrect electrical connection
    •    operation outside specified limits
    •    normal wear and consumables
    •    damage caused by third-party equipment

Warranty claims must include:
    •    product serial number
    •    detailed description of the issue
    •    photos or technical documentation if applicable

Returns and RMA Procedure

Products cannot be returned without prior authorization.

Return requests must follow the RMA (Return Merchandise Authorization) procedure.

Returned equipment must:
    •    be properly packaged
    •    include the RMA reference number
    •    not show signs of misuse or damage

The Company reserves the right to refuse unauthorized returns.

Limitation of Liability

The Company shall not be liable for indirect or consequential damages including but not limited to:
    •    loss of production
    •    loss of revenue or profits
    •    downtime of industrial processes
    •    damage to connected equipment

The maximum liability of the Company shall not exceed the purchase price of the supplied product.

Intellectual Property

All designs, engineering drawings, models, documentation, and technical solutions remain the intellectual property of the Company.

No part of the documentation may be reproduced, copied, or distributed without written permission.

Export Compliance

Certain products may be subject to export control regulations depending on the destination country and application.

The customer is responsible for ensuring compliance with applicable:
    •    import regulations
    •    export regulations
    •    sanctions laws

Safety Disclaimer

Industrial cooling equipment may involve:
    •    high voltages
    •    pressurized refrigerant systems
    •    moving mechanical components

Installation and servicing must be performed by qualified personnel only.

The Company is not responsible for injuries or damages resulting from improper use or unauthorized modifications.

Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to:
    •    war or military conflict
    •    government restrictions
    •    supply chain disruptions
    •    natural disasters
    •    power outages
    •    transportation failures

Governing Law

These Terms and Conditions are governed by the laws of the State of Israel.

Any disputes arising from these Terms shall be resolved in the competent courts of Israel.
